Definitions and key terms

When any of these terms are mentioned in this Eula, they are explained as follows in order to provide the clearest explanation possible:

Introduction

The relationship you have with us and how you use the Company PayByMobileCasino are governed by this Agreement. End User and Company may be referred to individually or as the “Parties” throughout this Agreement.

By downloading, installing, accessing, or using the website, you: (a) confirm that you possess all required authorizations and permissions to access and use it; (b) if you are using it in accordance with a license that an organization has purchased, that you are authorized to access and use it by that organization.In order to be legally bound by the terms and conditions of this agreement, you must: (c) acknowledge that you have read and understand it; (d) attest that you are of sound mind and of legal age (18 years of age or older); and (e) accept and agree to be bound by its provisions.

PayByMobileCasino licenses, not sells, the Application to you, to be used solely in compliance with the provisions of this Agreement.

License

PayByMobileCasino grants you a limited, non-exclusive, perpetual, revocable, and non-transferable license to:

(a) download, install, and use the Software on one (1) Computing Device per single user license that you have purchased and been granted, subject to the terms of this Agreement and, if applicable, those provisions provided in the License Agreement.

(b) access, view, and use on such Computing Device the End User Provided Materials made available in or otherwise accessible through the Software, strictly in accordance with this Agreement and any other terms and conditions applicable to such End User Provided Materials; if you wish to use the Software on multiple Computer Devices, you agree to obtain a license for the number of devices you intend to use;

(c) for a period of fifteen (15) distinct days following installation, install and utilize the software trial version on as many computing devices as you choose.

(d) get access to any updates and additional features that are made available to you within the first year of purchasing the Software license.

Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party.
• Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Application.
• Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of PayByMobileCasino or its affiliates, partners, suppliers or the licensors of the Application.

Intellectual Property

All intellectual property rights, including copyrights, patents, patent disclosures and inventions (whether patentable or not), trademarks service marks, trade secrets, know-how and other confidential information, trade dress, trade names, logos, corporate names and domain names, together with all of the good will associated there with, derivative works and all other rights (collectively, “Intellectual Property Rights”) that are part of the Software that are otherwise owned by PayByMobileCasino shall always remain the exclusive property of PayByMobileCasino (or of its suppliers or licensors, if and when applicable). Nothing in this Agreement grants you (or any Organisation) a license to PayByMobileCasino’s Intellectual Property Rights.

You understand and acknowledge that this Agreement grants you a limited license to use PayByMobileCasino’s intellectual property only in conjunction with the Software (and not separately from it) and for the duration of the license that is given to you under this agreement. Therefore, it shall be deemed a violation of PayByMobileCasino’s intellectual property rights if you exploit any of its rights, whether or not they are related to the software or fall outside the purview of this agreement. This will not, however, prevent PayByMobileCasino from pursuing any claims for breach of contract against you in the event that you violate any of the terms or conditions of this Agreement. You are required to take the utmost precautions to protect all Software (including copies thereof) from theft, unauthorised access, infringement, misappropriation, and abuse.

Your Suggestions

Your feedback, comments, ideas, enhancements, or recommendations (collectively, “Suggestions”) regarding the Application that you submit to PayByMobileCasino will remain PayByMobileCasino’ sole and exclusive property.
The Suggestions may be used, copied, altered, published, or redistributed by PayByMobileCasino for any reason and in any manner without giving you credit or payment..

Modifications to Application

With or without prior warning and without incurring any obligation to you, PayByMobileCasino retains the right to alter, suspend, or terminate, either temporarily or permanently, the Application or any service to which it links.

Updates to Application

PayByMobileCasino may occasionally offer updates, bug fixes, patches, upgrades, and other modifications (collectively, “Updates”) to better the features and operation of the application.

Updates may add, remove, or change some of the application’s features and/or functionality. You acknowledge and agree that PayByMobileCasino shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. PayByMobileCasino does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services.

Links to and from third-party services are given just for your convenience; you access and use them at your own risk and are bound by the terms and conditions of those third parties.

Term and Termination

This Agreement will be in force until either PayByMobileCasino or you terminate it.

This Agreement may be suspended or terminated by PayByMobileCasino at any time and for any cause, with or without previous notice, at its sole discretion.

If you violate any of the terms of this agreement, PayByMobileCasino may immediately cancel this agreement without further notice. Additionally, you may end this Agreement by removing the Application from your computer and all copies of it.

You will stop using the Application and remove any copies from your computer upon the termination of this Agreement.

Indemnification

In the event of any loss, damage, liability, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of any kind, including reasonable attorneys’ fees, arising from or relating to any of the following: i) your use or misuse of the Software; ii) your failure to comply with any applicable law, regulation, or government directive; iii) your breach of this Agreement; or iv) your agreement or relationship with an Organization (if applicable) or any third party. Additionally, you acknowledge that neither PayByMobileCasino nor its affiliates are liable for any data or materials you submit or make accessible via this software or that are made available to you by third parties.

No Warranties

The Application is provided to you “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, PayByMobileCasino, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Application, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, PayByMobileCasino provides no warranty or undertaking, and makes no representation of any kind that the Application will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither PayByMobileCasino nor any of its providers make any express or implied representations or warranties with regard to: (i) the application’s functionality or availability, or the information, content, and materials or products included therein; (ii) the application’s availability or uninterruptedness; (iii) the veracity, accuracy, or currency of any information or content provided through the application; or (iv) the absence of viruses, scripts, trojan horses, worms, malware, time bombs, or other harmful elements from or on behalf of PayByMobileCasino.

Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of PayByMobileCasino and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Application.

To the maximum extent permitted by applicable law, in no event shall PayByMobileCasino or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the Application, third-party software and/or third-party hardware used with the Application, or otherwise in connection with any provision of this Agreement), even if PayByMobileCasino or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

The aforementioned limitation or exclusion may not apply to you because some states or jurisdictions do not permit the exclusion or limitation of incidental or consequential damages.

Severability

The remaining sections of this Agreement shall remain in full force and effect even if any of its provisions are found to be unenforceable or invalid. Each unenforceable or invalid provision will be modified and interpreted to achieve its goals as closely as practicable under the applicable law.

Waiver

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this Agreement shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under this Agreement preclude further exercise of that or any other right granted herein. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

Amendments to this Agreement

At any moment, PayByMobileCasino retains the right, in its sole discretion, to amend or alter this Agreement. We shall give at least thirty days’ notice before any new terms take effect if a revision is important. Our sole discretion will be used to determine what changes are considered material.

You agree to be bound by any new terms by using our application or accessing it after they become effective. You are no longer permitted to use the Application if you disagree with the updated terms.

Governing Law

Equitable Relief

You understand and accept that PayByMobileCasino will suffer irreversible injury from your violation of this agreement, for which monetary damages would not be sufficient. You understand and agree that PayByMobileCasino may pursue injunctive remedy in order to stop any actual, threatened, or ongoing violations of this Agreement, in addition to damages and any other remedies to which PayByMobileCasino may be entitled.

Headings

This Agreement’s titles are merely for reference; they have no bearing on how this Agreement should be interpreted or how wide it can be interpreted.

Geographic Restrictions

The company is established in UK, is primarily accessible to and used by UKn citizens, and complies with all applicable laws and regulations there. You are totally and exclusively responsible for adhering to local laws if you use the website from a location outside of UK.

Limitation of Time to File Claims

Any claim or cause of action you may have related to this agreement or the website must be brought within a year of the claim or cause of action arising from it; otherwise, the claim or cause of action will be permanently barred.

Entire Agreement

The Agreement constitutes the entire agreement between you and PayByMobileCasino regarding your use of the Application and supersedes all prior and contemporaneous written or oral agreements between you and PayByMobileCasino.
You may be subject to additional terms and conditions that apply when you use or purchase other PayByMobileCasino’s services, which PayByMobileCasino will provide to you at the time of such use or purchase.
